Terms of Service

1. Acceptance of terms

By accessing or using the PeopleSighted platform ("Service"), operated by Groundwell Labs ("Company", "we", "us"), you agree to comply with these Terms of Service. If you do not agree with any part of these terms, you may not use the Service.

2. Description of service

PeopleSighted is a SaaS people management platform that provides employee management, time-off tracking, performance reviews, 1:1 meetings, pulse surveys, and reporting capabilities. The Service is intended for businesses and their authorized employees.

3. Accounts and responsibilities

When creating an account, you agree to provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. Notify us immediately of any unauthorized use.

4. Plans and payment

The Service offers paid plans with a free trial period. At the end of the trial, a paid subscription is required to continue using the Service. Pricing is per employee per month, according to the selected plan. We reserve the right to change pricing with 30 days' prior notice.

5. Intellectual property

All Service content, including source code, design, text, graphics, and trademarks, is the exclusive property of Groundwell Labs and is protected by intellectual property laws. Use of the Service does not grant you any rights to our intellectual property.

6. User data

You retain all rights to the data you input into the platform. You grant us a limited license to process this data solely for the purpose of providing the Service. Our handling of personal data is governed by our Privacy Policy.

7. Acceptable use

You agree not to: (a) use the Service for illegal purposes; (b) attempt to access systems or data without authorization; (c) transmit viruses or malicious code; (d) resell or redistribute the Service without authorization; (e) violate the rights of third parties.

8. Availability and support

We strive to maintain 24/7 Service availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible. Technical support is available 24/7 through the in-app support channel, as well as via email at contact@groundwelllabs.com.

9. Limitation of liability

To the fullest extent permitted by law, Groundwell Labs shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the Service. Our total liability shall be limited to the amount paid in the preceding 12 months.

10. Termination

You may cancel your account at any time. Before or after cancellation, you may request a full export of your organization's data in a portable format, in compliance with applicable data protection laws (LGPD, GDPR, CCPA). We reserve the right to suspend or terminate accounts that violate these terms. After termination, your data will be retained for 30 days for possible recovery and download, after which it will be permanently deleted.

11. Governing law

For users in the United States, these terms are governed by the laws of the State of Delaware. For users in the United Kingdom, by the laws of England and Wales. For users in the European Union, the rights provided under the GDPR additionally apply. For all other users, these terms are governed by the laws of the Federative Republic of Brazil. International disputes shall be resolved by binding arbitration administered in accordance with the rules of the International Chamber of Commerce (ICC), in the English language. The seat of arbitration shall be determined based on the user's place of residence.

12. Changes

We may update these terms periodically. Significant changes will be communicated via email or platform notification with at least 15 days' advance notice. Continued use of the Service after changes constitutes acceptance of the updated terms.
